Short-Term Vacation Rental Agreement

Parties and acknowledgment
This Short-Term Vacation Rental Agreement ("Agreement") is entered into as of the date last signed below, by and between BH Tangerine T201 SRL, a company duly organized under the laws of the Dominican Republic, represented by its Administrator (the "Host"), and the Guest identified in Section 2 (the "Guest").
By signing this Agreement electronically or by paying any portion of the rental fees, Guest confirms having read, understood, and agreed to all terms and conditions set forth herein.
1. Property
Bonita Hills, Unit T-201 — Las Terrenas, Samaná, Dominican Republic.
2. Guest information
Prior to signing, Guest provides: full legal name, nationality, passport or government ID number, email, phone or WhatsApp, and country of residence. The Primary Guest must be at least eighteen (18) years of age.
3. Rental period
- Check-in: 3:00 PM (15:00) local time.
- Check-out: 11:00 AM local time.
- Maximum occupancy: 6 persons.
- Early check-in and late check-out are not guaranteed and subject to availability. Requests must be submitted at least forty-eight (48) hours in advance and confirmed in writing.
- Unauthorized late check-out is charged at one (1) full night's rate per day or fraction thereof.
4. Rental rate and payment
All amounts are in United States Dollars (USD). Nightly rate, cleaning fee, security deposit, and total are filled in based on the confirmed booking.
4.1 Payment schedule
- 50% of the total rental amount due upon signing this Agreement.
- Remaining 50% due no later than thirty (30) days prior to check-in.
- Reservations made within thirty (30) days of check-in require payment in full at the time of booking.
- The security deposit of $500.00 USD is due no later than seventy-two (72) hours before check-in.
4.2 Accepted payment methods
- Wire transfer / ACH to the Host's account.
- Major credit or debit cards (Visa, Mastercard, American Express) through the Host's payment processor.
All payments are in USD. Bank fees, currency-conversion charges, and transaction costs are the Guest's responsibility. Payment is deemed received only upon confirmation of cleared funds.
4.3 Late payment
If any payment is not received by its due date, the Host may cancel the reservation and retain amounts already received as liquidated damages, subject to Section 7.
5. Security deposit
Guest shall remit a refundable security deposit of Five Hundred United States Dollars ($500.00 USD) prior to check-in. The deposit is held as security for:
- physical damage to the Property or its contents beyond normal wear and tear;
- excessive cleaning costs;
- violation of the house rules in Section 9; and
- any other charges or losses incurred by the Host due to Guest's actions or omissions.
Subject to deductions, the deposit is refunded within seven (7) calendar days following check-out and Host inspection. Damages exceeding the deposit are payable within three (3) business days of written notice. The Host provides an itemized statement of any deductions.
6. Occupancy
Maximum occupancy is strictly limited to six (6) persons, including children of all ages. Exceeding the maximum is a material breach and entitles the Host to terminate immediately without refund, plus a penalty of $200.00 USD per unauthorized person per night, deductible from the security deposit.
The Primary Guest must be at least eighteen (18), present throughout the rental period, and is solely responsible for the conduct of all occupants and visitors.
7. Cancellation policy
7.1 Cancellation by Guest
All cancellations must be submitted in writing to stay@miradorbonita.com. The schedule below applies:

7.2 Force majeure
For cancellations due to a documented force majeure event — natural disasters, government travel restrictions, or declared public health emergencies directly preventing travel — the Host evaluates refund requests case by case. Guest must provide supporting documentation within forty-eight (48) hours of the event.
7.3 Cancellation by Host
If the Host cancels for circumstances beyond its control, a full refund is issued. The Host's liability is limited to such refund and does not extend to consequential, incidental, or indirect damages including travel costs.
8. Early departure
If Guest departs before the scheduled check-out date, no refund of any remaining rental amount will be issued. Guest remains responsible for the full rental amount for the reserved period.
9. House rules and guest conduct
Violation of any rule below may result in immediate termination without refund.
9.1 Quiet hours
Quiet hours are observed daily between 10:00 PM and 8:00 AM. Music and gatherings must remain at a reasonable volume at all times.
9.2 Events and parties
Parties, events, or social gatherings involving persons not registered as guests are strictly prohibited without prior written authorization. Unauthorized events result in immediate termination and forfeiture of all amounts paid, including the security deposit.
9.3 Smoking
Smoking of any substance is strictly prohibited inside the Property and within five (5) meters of any door or window. Evidence of indoor smoking results in a minimum remediation fee of $300.00 USD.
9.4 Pets
No pets or animals of any kind are permitted on the Property. Violation results in a penalty of $200.00 USD per animal detected, plus actual cleaning and remediation costs, and may result in immediate termination.
9.5 Subletting and commercial use
Guest may not sublet, assign, or transfer the rental rights granted under this Agreement. The Property may not be used for commercial purposes, filming, or commercial photography without prior written consent.
9.6 Alterations
No alterations, modifications, or improvements to the Property are permitted. Furniture shall not be moved without prior written consent. Damage caused by unauthorized rearrangement will be charged against the security deposit.
9.7 Care of property
Guest shall maintain the Property in a clean and orderly condition. All garbage and refuse must be disposed of properly in the designated receptacles.
9.8 Keys and access devices
Lost or unreturned keys or access devices are charged at $100.00 USD per unit. Lockout assistance is available by contacting stay@miradorbonita.com and may incur a service fee.
10. Damage reporting and guest liability
Guest must report any pre-existing damage to the Host within two (2) hours of check-in. Failure to do so may result in Guest being held responsible at check-out.
Guest is liable for all damage caused by Guest, authorized occupants, or any visitor. Liability is not limited to the security deposit amount; the Host reserves the right to pursue additional amounts through appropriate legal channels.
11. Host's right of access
The Host or its authorized representatives may access the Property at any time without prior notice in an emergency. For non-emergency maintenance, the Host will provide at least twenty-four (24) hours advance notice unless Guest waives such notice.
12. Limitation of liability and indemnification
To the maximum extent permitted by applicable law, the Host shall not be liable for any personal injury, illness, loss, theft, or damage to Guest's personal property, however caused, during the rental period.
Guest agrees to indemnify, defend, and hold harmless BH Tangerine T201 SRL, its shareholders, directors, officers, employees, and agents from any and all claims, losses, costs (including attorney's fees), and liabilities arising from: (a) Guest's use of the Property; (b) any act or omission of Guest or any occupant; or (c) Guest's breach of this Agreement.
13. Personal data and privacy
The Host collects and processes Guest's personal data solely to administer the rental and comply with Dominican Republic Law 172-13 on Data Protection. 14. Guest identification
Prior to check-in, the Primary Guest must provide a copy of a valid government-issued photographic identification document (passport or national identity card). The Host is required to maintain guest identification records in compliance with Dominican Republic tourism regulations. Failure to provide identification may result in denial of access without refund.
15. Governing law and dispute resolution
This Agreement is governed by the laws of the Dominican Republic, including its Civil Code and Law 158-01 on Tourism Incentives. For Guests who are United States residents, the Parties acknowledge that electronic signatures are legally valid under the U.S. E-SIGN Act (15 U.S.C. § 7001 et seq.) and applicable state law.
Disputes shall first be submitted to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted exclusively to the courts of the Province of Samaná, Dominican Republic, which the Parties designate as the exclusive venue, waiving any other jurisdiction.
16. Electronic signature and binding effect
This Agreement may be executed electronically. An electronic signature affixed through a recognized electronic signature platform is legally equivalent to a handwritten signature and fully binding upon the signing party. A signed copy delivered by electronic means is deemed an original for all purposes.
17. Entire agreement and severability
This Agreement constitutes the entire agreement between the Parties regarding the rental of the Property and supersedes all prior discussions or representations. No modification shall be effective unless in writing and signed by both Parties. If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
18. Notices
All notices under this Agreement shall be in writing and delivered by email. Notices to the Host: stay@miradorbonita.com. Notices to Guest: the email address provided in Section 2. A notice is deemed received upon confirmation of delivery.
19. Guest acknowledgment
By signing the Agreement electronically, Guest confirms having read it in its entirety, understands its terms, and agrees to be bound by all provisions. Guest further confirms that all information provided is accurate and that they have full legal authority to enter into this Agreement.
